These Terms of Use ("Terms") describe the conditions of use of the website and services located at http://www.BarEssay.ai, and any associated mobile applications (the "Services"), which are collectively owned by Bar Essay Assistant LLC ("BarEssay"). 

By clicking on the "I Agree" button below and/or registering for the Services, you agree to be bound by all of the terms and conditions contained in these Terms.

 Warning about Content Generating Features.

Artificial intelligence software which generates content is a new and emerging technology. The content generating features of BarEssay enable you to provide text or other content (“Input”) and receive text, and other generated content (“Output”) in return (“Content Generating Features”). Output may be inaccurate, strange, or not fit for any use or purpose. Additionally, Output may not be unique, whether across all BarEssay users or other users of our Content Generating Features. For example, if you and another user provide the same or similar Input, you may receive the same or similar Output. Even if Output received by someone other than you is the same as Output received by you: (a) only the Output received by you is your user Content; and (b) the similar Output received by someone other than you is their Content.

• Registration Requirements

Personal accounts may only be used by the registered user. You are responsible for maintaining the confidentiality of the password and account.

• Member Account, Password and Security

You agree to (a) immediately notify BarEssay of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. BarEssay cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

• Cancellation

Each account cancellation request is handled on a case by case basis and, if approved, may be subject to a cancellation fee.

• Privacy Policy

Except as modified by these Terms, all terms of the Privacy Policy are incorporated by reference. Please click here to view those terms.

• Disclaimer

BarEssay provides our Services on an “as is” and “as available” basis and makes no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secured, or error-free, (iii) the results that may be obtained from the use of the Services will be accurate or reliable, (iv) the quality of any product, services, information or other material purchased or obtained by you through the Services will meet your expectations, and (v) any errors in the software will be corrected. Material and content provided to you or otherwise obtained through the use of the Services is done at your own discretion and risk and you will be solely responsible for any use or reliance on such materialsl. No advice or information, whether oral or written, obtained by you from BarEssay or through or from the Services shall create any warranty not expressly stated in these Terms.

• Limitation of Liability

You expressly understand and agree that BarEssay shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if BarEssay has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained, or message received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; (v) accuracy of any material provided to you on the Services; or (vi) any other matter relating to the Services.

Your use of the Services is at your sole risk. The Services is provided on an "as is" and "as available" basis. BarEssay expressly disclaims all warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and noninfringement. BarEssay shall not be in default or otherwise liable for any delay in or failure of its performance under these Terms if such delay or failure arises by a ny reason of any event beyond BarEssay' reasonable control, including any act of God, the elements, earthquakes, floods, fires, epidemics, riots, failures or delay in transportation or communications.

• Rights and Licenses

AI Software Service Providers. You grant BarEssay (including our third party hosting providers acting on our behalf) a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable right and license to: (a) use your Input and Output to improve and promote the Content Generating Features; (b) transfer your Input to any third party service provider providing us with artificial intelligence software services (each, an “AI Software Service Provider”) for the AI Software Service Providers to use in accordance with its terms and policies; and (c) enable AI Software Service Provider to use any Output they generate from your Input in accordance with its terms and policies. 

Ownership of Input and Output. To the extent Output may be owned under applicable laws, as between you and BarEssay, you are the owner of all your Input and Output.

Your Responsibilities. You are responsible for: (a) thoroughly reviewing all Output (including without limitation to verify its accuracy and reliability) before publishing, distributing, displaying or otherwise using such Output; (b) deciding whether to edit, remove and/or publish on Your Site or otherwise use Output; and (c) ensuring that your Input and Output complies with applicable laws, these Terms and our Acceptable Use Policy and the rest of the Agreement. 

Additional Restrictions on Use of the Content Generating Features. In addition to the restrictions on use of our Services in our Acceptable Use Policy you may not use Content Generating Features to: (a) mislead any others with access or without access to the Output that such content was human-generated; (b) create Output which: (i) provides medical advice or includes information about diagnostic or treatment for a medical condition; or (ii) provides legal or financial (including tax and investment) advice; (c) create or use Output to condone, enable, promote or commit any act: (i) of violence; (ii) that could result in death or personal injury; or (iii) which is in violation of applicable law; or (d) provide Input which constitutes personal information of yourself or anyone else, including without limitation names, email addresses or data concerning an individual’s race, ethnicity, nationality, health status, religious beliefs, gender identity or sexual orientation.  

AI Software Service Providers. The Output of the Content Generating Features is generated by artificial intelligence software provided by our AI Software Service Providers. If you would like more information on who our AI Software Service Providers are, you can find more information here. If you use the Content Generating Features, your Input will be shared by BarEssay to the applicable AI Software Service Provider and your Output will be generated by the applicable AI Software Service Provider.

• Other Terms

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in effect. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. All rights not expressly granted herein are reserved.

• Miscellaneous

BarEssay may assign this contract, in whole or in part, at any time with or without notice to you. You may not assign this contract, or any part of it, to any other party. The failure of BarEssay to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect.

• Disputes/Arbitration

If there is any controversy or dispute about, arising out of, or involving these Terms or the BarEssay.AI website or Services, you agree that the dispute shall be governed by the laws of the State of California, USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the united states located in the State of California, City of Los Angeles. Either BarEssay or you may demand that any dispute must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Los Angeles, California, USA, provided that the foregoing shall not prevent BarEssay from seeking injunctive relief in a court of competent jurisdiction. No claim under these Terms may be brought by you against BarEssay more than one (1) year after the cause of action arises.

• Indemnity

You agree to indemnify and hold BarEssay, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of these Terms and/or arising from a breach of these Terms.

• Accuracy

BarEssay does not guarantee the legal accuracy or completeness of any Output, or any other bar exam study material provided on the Services including, but not limited to, any outlines and/or essay examples, or any other materials our Output. Use of all material on or provided by the Services is at your own risk. You agree that you will not rely upon any of Output or other bar exam study material on the Services for its legal accuracy or completeness.

• Copyright Notice

All content provided to you on this site, including text, graphics, logos, images and software (including but not limited to the HTML code used to generate the pages on the Services) is the property of BarEssay and is protected by U.S. and international copyright laws. All rights are reserved. We expressly license all content on this website and obtained through the services to you under a Creative Commons attribution, non-commercial license. All other copyrights, trademarks and other intellectual property rights referred to in this Services belong to their respective owners. 

• Terms Modification

BarEssay reserves the right at its discretion to change the terms of these Terms and will notify users of any such changes by online postings and/or e-mails to subscribers of the Services. Your continued use of the Services after the posting of any notice of change in terms shall constitute your acceptance to be bound by any such changes. Failure to comply with any term of the Terms shall automatically terminate your right to use the Services.

• Unauthorized Use, Distribution, Sharing or Copying

Any unauthorized use, distribution, or copying of content owned by BarEssay or any unauthorized use, distribution, or sharing of your account will be fully prosecuted as the law provides. At the election of BarEssay, this may include, but may not be limited to, a termination of your account without refund, filing of a legal action, and/or reporting your name to the appropriate state bar officials.
